Ⅰ总则General

本技术协议是用中文或中英文书写，若有矛盾，须以中文为准。

ThistechnicalagreementiswrittenineitherChineseorEnglishlanguages.Ifanycontradictionoccurs,Chineselanguageshallprevail.

本技术协议是设备订货合同中不可分割的一部分并作为订货合同的附件。是设备设计制造、试验验收和交付的技术依据。

Asanintegralpartandtheattachmentoftheofficialpurchasecontract,thistechnicalagreementisthetechnicalbasisofequipmentmanufacture&testacceptance&delivery.

设备订货合同签订之后，本协议才能生效。

Thisagreementshallbecomeeffectiveonthedatewhenthepurchasecontractofequipmenthasbeendulyexecuted..

规范和规则:CCS；SOLAS；IMO；MARPOL

•中国船级社《海上高速船入级与建造规范》（2022年版）及有关修改通报；

CCS:RulesforConstructionandClassificationofSea-goingHighSpeedCraft(2022)&amendments;

•中国船级社《材料与焊接规范》（2022年版）及其修改和修改通报；

CCS:RulesforMaterialsandWelding(2022)&amendments；

•2000年国际高速船安全规则；

2000HSCCode；

•香港《商船(本地船隻)條例》（第548章）；

•香港《商船(本地船隻)條例》工作守則第I類別船隻安全標準；

在交船时，凡是与本船的建造、营运和航行相关的规范、规则均参照遵循。

Whiledelivered,theVesselshallbeinaccordancewithrelativerulesandregulationsregardingconstruction,operationandnavigationofitself.

本船拟取得下列入级符号：

TheVesselwillbeclassedCCSandwiththefollowingClassnotation:

★CSACatamaranHSC；PassengerB；CoastalServiceRestriction

★CSM

设备及材料应符合交付时CCS船级社和香港海事处最新的规范及法规要求。

EquipmentandmaterialshallmeetthelateststandardsofCCSclassificationsocietyandHongKongFlagAuthorityatthetimeofdelivery.

所有设备及附件必须提供不含石棉的声明或船级社认可的无石棉证书，否则由此引起的问题将由卖方负责赔偿。

AllequipmentandaccessoriesmustbeprovidedwithStatementofNon-AsbestosorCertificateofNon-Asbestosrecognizedbyclasssociety.Ifnot,theSellershallberesponsibleforanyresultedproblemsorcompensations.

任何技术协议中未提及的细节由认可图决定，将被认为是技术协议的一部分。除买卖双方书面同意修改外，任何与技术协议不符的应以技术协议为准。

Anydetailnotmentionedinthetechnicalagreementwillbedecidedintheapprovaldrawingsandwillbeconsideredasapartofthetechnicalagreement.Anydiscrepancieswiththetechnicalagreement,thetechnicalagreementshallprevail,unlesstheBuyerandtheSelleragreeinwritingtomodifythetechnicalagreement.

合同中未提及，但是属于设备或规范所要求的附件及备件，将由卖方无偿提供。

Theaccessoriesandsparepartswhichbelongstoequipmentandarerequiredbysociety,butnotmentionedinthecontract,shallbesuppliedbytheSellerforfree.

属于设备上的法兰，接头等需提供配对接头。设备上所必须的软管及卡箍、管路弯头、减震垫等连接件应由卖方配套提供。

Jointsorconnectionpartsshallbeprovidedwithflangesandconnectorsontheequipment.Necessaryhoses,hoops,fittingsandanti-vibrationspacersontheequipmentshallbeprovidedbytheSeller.

提供设备所需的油料清单，包括牌号及数量。

Theoillistoftheequipment,includingtypeandquantity,shallbeprovidedbytheSeller.

铭牌材料采用不锈钢材料或厂家标准，文字为中文或英文。

Thenameplatematerialshallbestainlesssteelormakerstandard,writteninChineseorEnglish.

重量要求：要求设备到厂称重的全套设备（包括散供件）的干重不得超过技术协议设备重量的±2%，否则船厂将有权做退货处理，设备商务必提供准确重量参数。

Weightrule:2%overweightofthewholesetofequipment(includingsparepartsandaccessories)willnotbeaccepted,basedonscopeofsupplyofthetechnicalagreement.OtherwisetheBuyerhastherighttoreturnthegoods.Therefore,theSellershallprovideweightparticularsasaccurateaspossible.

噪音要求：要求自身运行会产生噪音或振动的设备，需在技术规格书或设备参数表中注明声音等级，并在安装时做有效的降噪处理。

Noiserule:noiselevelshallbeindicatedinspecificationorequipmentparametersfortheequipmentwhoseownoperationwillproducenoiseorvibration.Necessarynoisereductiontreatmentshallbemadeduringinstallation.

证书要求

卖方提供的产品必须持有CCS船用产品证书及相关单列证书。

Certificaterules:TheequipmentsuppliedbytheSellermustbeapprovedbyclasssocietywithcertificateofCCSMarineproductandrelatedcertificates.

在签订协议时，预先提供一份同类产品的CCS产品或形式认可证书来证明该厂家确实能提供证书。

TheSellershallprovideinadvanceaCCScertificate(productcertificateortypeapprovalcertificate)ofsimilarproductsforreferencewhensigningthistechnicalspecification.

在设备出厂试验前60天，卖方应通知买方及船东参加试验并同时提交检查/试验资料。

TheSellershallnotifytheBuyerandOwnerforFATtestwith60dayspriortothefactorytestofequipment,andsubmitinspection/testdata.

设备供货保证：卖方需根据本协议规定的供货设备清单及认可图最终意见进行设备供货。一旦出现设备供货错误，卖方须以最快捷的方式更换设备，由此产生的相关费用由卖方承担。

Supplyguarantees:thesellershouldbeinaccordancewiththesupplyequipmentlistofthisagreementandthefinalapprovaldrawings.Iftheequipmentsupplyerroroccurs,thesellershallbethequickestwaytoreplaceequipment,andthesellershallbearrelatedcostsarisingtherefrom.

设备的对地绝缘值要求需满足CCS规范对船用设备的使用要求，设备出厂前，设备供应商必须对设备的冷态和热态绝缘值进行测量并提交给船厂确认。如在设备调试或使用过程中出现设备绝缘低报警的，由设备供应商自行解决。

GroundinsulationofequipmentshallmeettherequirementsofCCSrulesandregulationsfortheuseofmarineequipment.Beforedelivery,suppliersmusttomeasurethecold-stateandhot-stateinsulationvalueandsubmittoshipyardforconfirmation.Iflowinsulationalarmoccursduringcommissioningoroperationofequipment,theSellershallsolvebyitsownresponsibility.

设备调试服务：卖方提供1条船共15工作日，不得少于3次，用于调试及试验。所有费用由卖方支付。如果服务时间由于设备缺陷或服务工程师能力不足而延长，则工程师应继续留在船厂到完成委托，卖方不应向买方要求额外收费。设备商应提前提供调试、试验详细工作程序和计划，以便船厂协助服务工程师按期完成。本船在船厂完成试验和试航后，需在香港完成船东的验收和试航，卖方须在香港提供配合验收和试航需要的调试试验服务。

Commissioningservice:TheSellershallprovidecommissioningof15daysforonevessel,notlessthan3timesforshipcommissioningserviceandtest,atnoadditionalcost.IftheserviceperiodisprolongedsolelyduetodefectiveequipmentsuppliedbytheSellerorduetothefaultofSeller’sserviceengineerwithoutthenecessarylevelofskill,theSellershallreplacethedefectivepartsordispatchanalternative,qualifiedserviceengineerimmediatelyandthecommissioningservicetimewillbeextendeduntilthecommissioningtestiscompletedwithoutanyadditionalcost.TheSellershallprovide,inadvance,detailworkprocedureorplanforcommissioningandtest,sothatshipyardcancooperatetodulycompletethejob.Aftercompletionoftheinitialtestandseatrialsattheshipyard,thevesselshallhaveseatrialsinHongKong,andtheSellershallprovidethesamecommissioningandtestingservicesasrequiredfortheseatrials.

卖方需在香港有固定的售后维修服务点，且在香港的调试及售后维修服务须满足香港关于劳务及劳工方面的法律法规要求。卖方须提供在香港售后维修服务点的地址、联系电话。

TheSellershallhavefixedafter-salesmaintenanceservicepointsinHongKong,andthecommissioningandafter-salesmaintenanceservicesinHongKongshallmeettherequirementsoflawsandregulationsinHongKonginrespectoflabor.TheSellershallprovidetheaddressandtelephonenumberoftheafter-salesservicepointinHongKong.

制造商将为买方的工程师/技术人员提供重大的大修培训(包括机械和电子)，培训条款见商务合同。

Themanufactureswillprovidemajoroverhaultraining(bothmechanical&electronic)toBuyers’engineers/techniciansSeethepurchasecontractfortrainingterms.

质量保证期以及延保条款见商务合同。

Thewarrantyperiodandextendofwarrantyclauseshallrefertotheclauseinthepurchasecontract.

当设备交付时间已经无法保证在合同规定的交付日期提交到指定的交货地点，则设备供应商同意交付设备的运输方式应由陆运或海运自动转为空运，以缩短交付时间，且费用由设备供应商承担。

IftheactualdeliverytimeislaterthantheContractDeliverytime,thentheSelleragreestosendtheequipmentbyairinsteadofbyseaorbylandinordertoshortenthedeliverytime,andtheSellershallbearallrelativecost.

随船备件和工具装箱要求

详细的备件和/或工具清单附在箱盖内部，每个备件标明它的名字和数量。

Sparepartsandtoolspacking

Detailedlistofsparepartsand/ortoolsistobeattachedinsidetheboxcover,eachsparepartshallbeclearlyindicatedwithitsnameandnumber.

若设备供应商为运输方便或其他原因而将整套设备采用拆分的方式进行提供的，设备供应商应在设备交付到船厂时将设备重新组装完整，并应承担检查或通过试验确保该设备及其配套附件正确性和可靠性的责任。IftheSellersplitthewholesetofequipmentforconvenienceoftransportationorotherreasons,heshallreassembletheequipmentwhendeliveredtoshipyard,andshallundertakecheckingandtestingtoensurethecorrectnessandreliabilityoftheequipmentanditsaccessories.

在潮湿空气、盐雾、油雾、振动和冲击的船舶使用环境下可正常工作。

*关于电源的特别提醒

本船原则上仅提供上述电源，设备商提供的用电设备应为即插即用型，其设备应自成系统合成，需自行适配船上的供电电源，否则，调试或实际运行中出现电源不适配导致系统运行不平稳，或信号发生故障，均由设备商负责。

*SpecialreminderforPowersource:

Inprinciple,onlytheabovekindsofpowersourceshallbeprovidedbythisvessel,andtheequipmentprovidedbytheSellershallbeplugandplaytype,anditsequipmentshallbecomposedofitsownsystemandshallbefittedwiththesepowersourcesbyitself.Otherwise,theSellerisresponsiblefortheunsteadyoperationofthesystemorthefailureofthesignalcausedbytheunsuitablepowersupplysysteminthedebuggingoractualoperation.

Ⅱ图纸和文件Drawingsanddocuments

合同签订后7天内，卖方应向买方提交认可图。

SellershallsubmitapprovaldrawingstoBuyerwithin7daysaftersigningthecontract.

买方在收到认可图后，买方应书面回复认可意见书，若在收到认可图7天内买方没有回复认可意见书，则默认买方对确认图没有意见。

Afterreceivingapprovaldrawings,Buyershallreplywithapprovalcommentsinwritten.IftheBuyerdoesnotreplywithapprovalcommentswithin7daysafterreceiptofapprovaldrawings,thesaiddrawingsshallbedeemedtohavebeenautomaticallyapproved.

卖方收到认可意见7天内，卖方应向买方提交工作图；

SellershallsubmitworkingdrawingstoBuyerwithin7daysuponreceiveapprovalcomments.

每船3份完工图应随设备一起送交买方；

FinaldocumentsshallbesubmittedtoBuyerin3setspershipwithequipment.

所有的认可图纸、工作图纸及完工图纸必须具有封面及目录，内容文字采用英文或中英文，包含设备的性能及外形参数、接口参数、运行参数正常值及报警值、重量重心、原理图、电气接线图、管路走向或布置图、安装工艺要求等资料。电气设备的供电电源和控制电源等技术接口方面若有特殊要求需提请买方注意。

Allapprovaldrawings,workingdrawingsandfinaldrawingsshallbebindingwithacoverandatableofcontent,wordsinEnglishorinbothChineseandEnglish,containingequipmentperformance,diameters,interfaceparameters,operationparameters,alarmvalues,weightandcenterofgravity,schematicdiagram,electricalwiringdiagram,trendofpipesorpipeslayout,installationtechnology,etc.Fortheelectricalequipmentswithinterfaceofpowersupplyandpowersourcecontrolofspecialrequirements,theSellershallremindtheBuyerwithnotice.

厂家提供的认可图、工作图、完工图需有电子文本给船厂。电子文件除提供PDF文档外要求提供可编辑的word、Excel文件和CAD图，CAD图要求按设备外形尺寸1：1比例绘制。对于确认图意见，厂家要在工作图上加上修改标记。

Sellershallsubmitelectronicversionofapprovaldrawings,workingdrawingsandfinaldocumentstoBuyer.ExceptPDFdocuments,editabledocumentsinformatofWord,ExcelandCADdrawingsof1:1scaleaccordingtothesizeofequipmentarealsorequired.ModificationmarksofcommentsonapprovaldrawingsshallbeaddedinworkingdrawingsbytheSelller.

图纸的迟交和罚款：除人力不可抗拒事故者外，卖方应按照本协议向买方及时寄送图纸和技术资料。一旦迟交这些图纸（以邮戳为准），卖方应付给买方每一星期按货物总值的0.5%的迟交罚款，此项罚款总额不超过全部货物总值的5%，由买方从采购款中进行扣除。

Latedeliveryofdrawingsandpenalty：Exceptforforcemajeurecases,theSellershallsendthesedrawingsandtechnicaldocumentstoBuyerintimeaccordinginthisagreement.Incaseoflatedeliveryofthesedrawings,theSellershallpaytotheBuyerdelaypenaltyamountingto0.5%perweekofthetotalvalueofthegoods.Thetotalamountofpenaltyshallnothoweverexceed5%ofthetotalvalueofthegoodsandistobedeductedbytheBuyerdirectlyatthetimeofpayment.

卖方的送审图纸应满足买方的安装设计要求，否则予以退回由此引起的推迟应按上面条款计算。

DrawingssubmittedforapprovalbytheSellershallmeetrequirementsofinstallationbytheBuyerandotherwiseshallberejected.Consequentialdelayshallbecalculatedinaccordancewithabove-statedprovisions.

制造厂需保证向买方提供与工作图（根据退审意见修改后的图纸）相一致的设备，若生产过程中需有任何的改动，应及时联系买方并征得同意，并书面作出修改标记及说明提供给买方确认。若实际到货的设备出现与工作图不一致的情况，导致船厂依照设备工作图制作安装的基座需进行返工或重新制作的，制造厂需对由此造成的直接损失进行等价赔偿。

ThemanufacturershallguaranteethattheequipmentsuppliedtotheBuyershallconformtotheworkingdrawings(modifiedaccordingtocomments).Incaseanymodificationisnecessaryduringtheprocessofmanufacture,themanufacturershallimmediatelyinformandobtainconsentfromtheBuyerandsendtheBuyerindicationofmodificationsandrelativeexplanations.Ifthepracticalequipmentisinconsistentwiththeworkingdrawing,whichcausestheshipyardtoreworkorremakethefoundationforinstallationaccordingtotheworkingdrawingoftheequipment,themanufacturershallmakeequivalentcompensationforthedirectlosses.

Approvalandworkingdrawingsshallindicateweights,shapediametersandinstallationdiametersforeverymainpart.

认可图和工作图应标注每一个部件的重量，外形尺寸，安装尺寸。

Ⅲ技术要求及指标参数SPECIFICATION

规格书要求:

舷梯Gangway

在主甲板的左舷和右舷，大约在船身中部应提供一个电动跳板。每个跳板都应由本地控制面板和驾驶室远程控制，在机械故障的情况下应提供手动操作。所有的配件都应采用316L不锈钢材料制成。

Oneelectricallyoperatedgangplankshallbeprovidedonportandstarboardofmaindeckataboutmid-ship.Eachgangplankshallbecontrolledfromlocalcontrolpanelandremotelyfromthewheelhouse,amanualback-upshallbeprovidedincaseofmechanicalfailure.Allfittingsshallbemadeof316Lstainlesssteelmaterial.

每个跳板的宽度应至少为1.9米（在扶手之间测量），应采用铝合金结构。跳板的表面应是防滑材料。跳板的表面应经船东认可。

Thewidthofeachgangplankshallbeatleast1.9meterwide(measuredbetweenhandrails)andshallbeofaluminiumalloyconstruction.Thesurfaceofgangplankshallbeofnon-slipmaterial.ThesurfaceofthegangplankshallbeagreedwiththeBuyer.

跳板的设计应适合行动不便的人使用，水线以上的高度应适合在所有的渡口码头和潮汐高度使用，关于码头的细节见附录B，仅供参考。中标者须对有关航线的所有渡口进行现场调查，以确定渡口的运行参数以及抬升和坡道系统的测量值，确保跳板的设计和结构适合在现有的码头基础设施上使用，并同样适合行动不便的用户使用。

Thegangplankshallbedesignedforeasyaccessofreducedmobilityusersandtheheightabovewaterlineshallbesuitabletouseatallferrypiersandtidalheights,fordetailsofpiersseeAppendixBforreferenceonly.Thesuccessfultenderershallconductsitesurveysofallferrypiersoftheconcernedroute(s)todeterminetheoperatingparametersofthepiersandthemeasurementsoftheliftandrampsystemstoensurethatthedesignandconstructionofthegangplankshallbesuitableforuseattheexistingpierinfrastructureaswellasforeasyaccessofreducedmobilityusers.
